These Payment and Tax Terms (the “Payment and Tax Terms”) set forth the payment and tax terms in connection with your purchases of products and services of by AlgoEd Limited (a company incorporated in Hong Kong with limited liability) (“AlgoEd”) and shall form part of the Student Terms (as defined in the Web Membership Agreement for Student Platform). You should also read AlgoEd’s Web Membership Agreement for Student Platform made between you as a Student (as defined in the Web Membership Agreement for Student Platform) and AlgoEd carefully, which is incorporated into these Payment and Tax Terms by reference. Unless otherwise defined herein, capitalised terms shall have the same meaning as used in the Web Membership Agreement.
1. Payment Method and Currency
1.1 We support payments by credit card and debit card. All payments will be made and processed via a third party integration called Stripe, completely secure, PCI compliant and SSL enabled. Stripe has certain data processing activities for which it acts as a data controller, and others for which it acts as a data processor. A good illustration of this dual role is when Stripe processes credit card transactions. Facilitating a transaction requires the processing of personal data, such as the cardholder’s name, credit card number, the credit card expiry date, and CVC code. The cardholder’s data is sent from the Stripe user to Stripe via the Stripe API (or by some other integration method, such as Stripe Elements). Stripe then uses the data to complete the transaction within the systems of the credit card networks, which is a function that Stripe performs as a data processor. However, Stripe also uses the data to comply with its regulatory obligations (such as Know Your Customer and Anti Money Laundering), and in this role Stripe is a data controller.

1.2 The product and service prices (including, but not limited to, the prices of the Subscription Services) listed on AlgoEd’s website are in United States Dollars (“USD”) and we support payment in USD only. If payment is to be made by you in another currency, the calculation of the payment amount will be converted into USD at the exchange rate provided by Stripe on the day when: the subscription order (either new or upgrade orders) is confirmed.
2. Purchase Options
Currently AlgoEd supports the following payment options in respect of the Subscription Services:
2.1 For Advisory Program
Prepaid Payment
a) This purchase option charges you the full sum in advance in one lump sum based on your Subscription Period.
b) If you choose the prepaid purchase option, you agree and authorize us to charge the full amount from your default payment method after you place an order for purchasing AlgoEd’s Advisory Program.
c) No refunds are available under any circumstances for the prepaid payment option.
Monthly Payment
a) Under this purchase option, you will make payment to us on a monthly basis commencing on the date of your purchase and on the same day each month thereafter, for AlgoEd’s Advisory Program until the end of your Subscription Period.
b) If you choose the monthly purchase option, you agree and authorize us to deduct from your default payment method on a monthly basis, the outstanding monthly fee payable by you for such relevant calendar month.
c) If you do not wish to continue with the subscribed Advisory Program, you need to send a cancellation email using your email address registered with AlgoEd to AlgoEd at support@algoed.co at least 48 hours in advance. You may use the model cancellation form below but it is not mandatory to follow.

d) The full monthly subscription fee will still be charged irrespective of whether it was a complete month or not. For example, if you subscribe for a Subscription Service on 15 June but cancel your subscription on 15 July, you will still be charged the monthly subscription fee from 15 July to 14 August but you may continue to enjoy your Subscription Services until 14 August before it terminates and becomes inaccessible.
e) No refunds are available under any circumstances for monthly payment option.
2.2 For Editing and Feedback Services
a) Editing and Feedback Services are charged as a one-off lump sum in advance depending on the type of Editing and Feedback Services requested and the number of words of the User Content submitted by you to AlgoEd for review.
b) Payments for Editing and Feedback Services must be paid using credits from your Student Membership Account which must be converted from USD.
c) You agree and authorize us to charge the full amount from your default payment method after you place an order for purchasing AlgoEd’s Editing and Feedback Services.
d) No refunds are available under any circumstances for purchases of any Editing and Feedback Services.
2.3 All amounts payable by you shall be made without any set-off or counterclaim, and without any deduction or withholding.
3. Payment Failure
3.1 If, for reasons attributed to you or your registered payment method, we cannot bill you or otherwise process your payment, we will notify you by email to your registered email address and request you to resolve the problem. In this case, you will be able to continue to use your Subscription Services and Student Membership Account for another 7 days. After this 7-day leeway period, if the issue has not been resolved and payment has not been made, AlgoEd shall have the right, to immediately suspend all your Subscription Services and your Student Membership Account until payment has been processed or to terminate all your Subscription Services and your Student Membership Account without any liability to you. Prior to any suspension or termination, a notification email will be sent to your registered email address.
4. Tax
4.1 All fees and amounts payable by you to us (collectively “Fees”) are exclusive of any taxes and duties, including VAT, GST, sales tax, and communication tax, required by applicable law (including local law or ordinance) (collectively “Taxes”).
4.2 You agree to notify us, in a timely manner of any Taxes applicable to you with respect to any Fees paid by you hereunder and to provide us with any supporting documentation and information, including your registration number for such Taxes. If you are legally entitled to any exemption from Taxes, you agree to provide us with any required current tax exemption documentation for each applicable tax jurisdiction. We shall apply the tax exemption certificates to Fees under your Student Membership Account occurring after the date we receive the tax exemption certificates. If, during the course of an audit by a taxing authority of our transactions with you hereunder, an exemption certificate you have provided is challenged as invalid, resulting in an assessment of any Taxes on us, you agree to reimburse us for the resulting Taxes, interest and penalties.
4.3 If any deduction or withholding is required on any Fees paid by you to us, you agree to pay us any additional amount necessary to ensure that the net amount we receive, after any deduction and withholding, equals the amount we would have received if no deduction or withholding had been required. In addition, you agree to provide us with supporting documentation, within thirty (30) calendar days of payment, that any such deduction or withholding has been timely and properly remitted to the relevant tax authorities.
